Terms and Conditions

1. Acceptance of terms

By creating an account, purchasing credits, or otherwise using the Klosesales platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Service. These Terms constitute a legally binding agreement between you ("User", "you") and Avanest Technologies Private Limited, a company incorporated under the laws of India ("Company", "we", "us").

2. Description of service

Klosesales is an AI-powered autonomous sales platform that enables users to:

• Make outbound voice calls to their existing or prospective customers via AI agents using a shared Service number powered by Twilio;
• Query an AI assistant for call summaries, transcripts, insights, and analytics;
• Receive two-factor authentication (2FA) one-time passcodes (OTPs) on their registered mobile number via Twilio Verify.

All outbound calls are made from a single Twilio-provisioned number operated by the Company. Users cannot purchase or own their own phone numbers through the Service.

3. Account registration and mobile verification

Registration requires a valid mobile phone number. You consent to receiving OTP messages on that number for account verification and authentication purposes. Your mobile number is mandatory for continued access to the Service. You represent that:

• You are at least 18 years of age;
• You have the legal authority to enter into this agreement;
• The mobile number you provide belongs to you or you are authorised to use it.

4. Credit system and payments

Access to core features is gated behind a prepaid credit system:

• Credits are purchased in packages (e.g., $10 for 500 credits) on a pay-as-you-go basis;
• Voice call usage is charged at 1 credit per second;
• AI assistant queries (post-call summaries, transcripts, and insights) are charged at 0.5 credits per query;
• Credits are non-transferable, have no cash value, and cannot be sold, gifted, or traded;
• Credits currently do not expire. We reserve the right to introduce a credit expiry policy in the future, in which case we will notify you at least 30 days in advance before any expiry terms take effect;
• Payments are processed by Paddle.com, which acts as the Merchant of Record for all transactions. A platform service fee is applied to each transaction to cover payment processing costs. Before confirming a purchase, an estimated total is displayed in-app — this includes the base credit package price, the platform service fee, and any applicable taxes calculated by Paddle based on your billing location (e.g. VAT, GST, or sales tax). The final amount charged to your payment method upon confirmation may vary slightly from the estimated total depending on your exact billing address and applicable local tax rates.

5. Acceptable use

You agree to use the Service only for lawful outbound sales and marketing communications to individuals who have a pre-existing relationship with you or have otherwise consented to receive such communications, in compliance with all applicable laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any equivalent regulations in the recipient's jurisdiction.

You must not:

• Use the Service for spam, unsolicited bulk communications, or fraudulent purposes;
• Upload or transmit unlawful, harassing, defamatory, or harmful content;
• Reverse-engineer, copy, or resell any part of the Service;
• Attempt to gain unauthorised access to our systems or data.

We reserve the right to suspend or terminate accounts found in violation of this section without prior notice and without refund.

6. Intellectual property

All intellectual property in the Service — including software, AI models, brand assets, and documentation — is owned by or licensed to Avanest Technologies Private Limited. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your active account. No ownership rights are transferred to you.

7. Limitation of liability

To the fullest extent permitted by applicable law, the Company and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of business, revenue, data, or goodwill.

Our aggregate liability to you shall not exceed the greater of: (a) the total amount paid by you to the Company in the thirty (30) days immediately preceding the claim, or (b) United States Dollars fifty (USD $50).

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. AI-generated insights and call summaries are provided for informational purposes and may not be completely accurate.

9. Third-party services

The Service integrates with third-party providers including Twilio (voice and messaging), Paddle (payment processing and Merchant of Record), Google (authentication), Meta (Facebook authentication), and Time4VPS (server infrastructure, EU). Your use of these integrations is subject to the respective providers' terms of service and privacy policies. The Company is not responsible for the data practices or actions of third-party services.

10. Governing law and dispute resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Jalandhar, India. For users located in the United States, any claim shall first be submitted to good-faith negotiation for a period of 30 days before initiating legal proceedings.

11. Modifications to terms

We may update these Terms at any time. Material changes will be communicated via email or an in-app notice at least 7 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
